1. Agreement to Terms

By accessing or using the services provided by VertexCodeSystems, located at Gran Vía Alfonso X el Sabio, 6, 30008, Murcia, Spain, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Scope of Services

VertexCodeSystems provides web development, design, and related digital services. The specific scope, deliverables, timelines, and pricing for each project are defined in individual service agreements or project proposals issued by VertexCodeSystems.

3. Payment Terms

  • ▸ Invoices are payable within 14 days of issuance unless otherwise agreed in writing
  • ▸ Late payments incur a statutory interest rate of 8% per annum plus recovery costs
  • ▸ VertexCodeSystems reserves the right to suspend work for unpaid invoices exceeding 30 days
  • ▸ All prices are quoted in EUR and exclude applicable taxes unless stated otherwise

4. Intellectual Property

Upon full payment, the client receives a perpetual, non-exclusive license to all custom-developed deliverables. VertexCodeSystems retains ownership of pre-existing frameworks, libraries, and reusable components incorporated into the project.

5. Project Milestones

Projects are structured around defined milestones with acceptance criteria. Client approval at each milestone constitutes acceptance of the deliverables for that phase. Change requests outside the original scope may incur additional fees as outlined in the change order process.

6. Warranties

VertexCodeSystems warrants that services will be performed in a professional manner consistent with industry standards. A 90-day warranty period applies from project delivery, covering defects in workmanship. This warranty does not cover issues arising from third-party modifications, hosting environment changes, or misuse.

7. Limitation of Liability

VertexCodeSystems' total liability under any agreement shall not exceed the total fees paid by the client for the specific project giving rise to the claim. VertexCodeSystems shall not be liable for indirect, consequential, or punitive damages.

8. Termination

Either party may terminate a project agreement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. All delivered materials and source code for paid milestones shall be transferred to the client.

9. Governing Law

These terms are governed by the laws of Spain. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Murcia, Spain.

Refund Policy

1. Eligibility

VertexCodeSystems evaluates refund requests on a case-by-case basis according to project milestones completed, work delivered, and the terms of the specific service agreement. The following framework applies to all projects unless an alternative agreement is documented in writing.

2. Pre-Project Cancellation

If a project is cancelled before any work has commenced, a full refund of any advance payment will be issued within 14 business days. Cancellation must be communicated in writing to [email protected].

3. In-Progress Cancellation

For projects cancelled after work has commenced:

  • ▸ Payment for completed milestones is non-refundable
  • ▸ Partial milestones completed to a minimum of 50% are billed at the full milestone rate
  • ▸ Any advance payment exceeding completed work value will be refunded within 14 business days
  • ▸ All completed deliverables and source code for paid milestones are transferred to the client

4. Defective Deliverables

If delivered work materially fails to meet the specifications outlined in the project agreement, VertexCodeSystems will, at its discretion, remedy the defects at no additional cost or issue a proportional refund for the affected deliverables.

5. Subscription & Retainer Services

For ongoing maintenance or retainer agreements:

  • ▸ Monthly retainers may be cancelled with 30 days written notice
  • ▸ No refund is issued for the current billing period in which notice is given
  • ▸ Quarterly or annual pre-paid retainers receive a prorated refund for unused full months

6. Non-Refundable Items

The following are not eligible for refund:

  • ▸ Third-party licenses or software purchased on behalf of the client
  • ▸ Domain registration or hosting fees already processed
  • ▸ Work completed under approved change orders
  • ▸ Consultation sessions already conducted

7. Refund Process

To request a refund, contact VertexCodeSystems at [email protected] with your project reference number and the reason for the refund request. Refunds are processed within 14 business days of approval to the original payment method.

8. Dispute Resolution

Any dispute regarding refunds shall first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to mediation before proceeding to binding arbitration under Spanish law, with the courts of Murcia having exclusive jurisdiction.
